1. Acceptance of Terms

These Terms & Conditions govern the use of Paynivo ("Platform"), operated by Swastik Enterprises.

By accessing or using Paynivo ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including businesses, individuals, and organizations. You represent that you are at least 18 years old and have the legal authority to enter into this agreement.

2. Description of Service

Paynivo is a cloud-based payment collection and GST invoicing platform that enables businesses to:

  • Create and manage GST-compliant invoices
  • Generate and share payment links
  • Collect payments online and offline
  • Generate GST reports and compliance documents
  • Manage customers and track payments
  • Create and manage events with booking functionality

2.1. WhatsApp & Digital Communication

By using Paynivo, you consent to receive transactional communications via email, SMS, and WhatsApp through the WhatsApp Business Platform (Cloud API provided by Meta Platforms, Inc.).

These communications may include:

  • OTP authentication messages
  • Invoice notifications
  • Payment reminders
  • Transaction confirmations
  • Account-related alerts

You agree that such communications are necessary for service delivery and do not constitute unsolicited marketing. You are responsible for obtaining necessary consent from your customers before sending them WhatsApp communications using Paynivo.

3. Account Registration and Security

3.1 Account Creation

To use our Service, you must:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password and account information
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Using strong passwords and enabling two-factor authentication when available

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit any harmful, offensive, or illegal content
  • Engage in fraudulent, deceptive, or illegal activities
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems to access the Service without permission
  • Collect or harvest information about other users
  • Impersonate any person or entity
  • Violate any tax or regulatory requirements

5. Payment Terms

5.1 Subscription Plans

We offer various subscription plans with different features and limits. You agree to:

  • Pay all fees associated with your selected plan
  • Provide accurate payment information
  • Authorize us to charge your payment method
  • Understand that fees are non-refundable except as specified in our Refund Policy

5.2 Payment Processing

Paynivo integrates with licensed third-party payment gateway providers to facilitate online payments.

  • We act solely as a technology platform and facilitator.
  • Payment gateway providers are responsible for processing transactions.
  • Gateway fees, chargebacks, refunds, and disputes are governed by the respective provider’s terms.
  • We are not liable for payment failures, settlement delays, or third-party system outages.
  • You are responsible for compliance with RBI, GST, and applicable financial regulations.

6. Intellectual Property

6.1 Our Rights

The Service, including its original content, features, and functionality, is owned by Paynivo and protected by copyright, trademark, and other laws. You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or attempt to extract source code
  • Remove any copyright or proprietary notices
  • Use our trademarks or logos without permission

6.2 Your Content

You retain ownership of data and content you upload. By using the Service, you grant us a license to:

  • Store, process, and display your content to provide the Service
  • Use aggregated, anonymized data for analytics and improvement

7. GST Compliance and Tax Obligations

You acknowledge and agree that:

  • You are solely responsible for GST compliance and tax obligations
  • We provide tools to assist with GST reporting but do not guarantee compliance
  • You should consult with tax professionals for tax advice
  • We are not liable for any tax-related issues or penalties
  • You must ensure all invoices comply with applicable GST laws

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We:

  • Implement security measures to protect your data
  • Do not sell your personal information
  • May use aggregated data for service improvement
  • Comply with applicable data protection laws

9. Service Availability

  • We are not responsible for actions or policies of third-party services including payment gateways and communication platforms such as WhatsApp (Meta).

11. Indemnification

You agree to indemnify and hold harmless Paynivo, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Content you upload or transmit through the Service

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using account deletion features.

12.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • You fail to pay subscription fees
  • We discontinue the Service

12.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and data after a reasonable retention period
  • You remain responsible for fees incurred before termination

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will:

  • Notify you of material changes via email or platform notification

  • Your continued use after changes constitutes acceptance

If you do not agree to the changes, you must stop using the Service.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Maharashtra, India.
